§ 1 Generally
1. Scope
(1) These general terms and conditions apply to the performance of examinations and certifications in accordance with the SGU-Personal VAZ 2021 certification program – hereinafter referred to as the “certification service” – which are provided by Schipper CertPers UG – hereinafter referred to as the “certification body” – on behalf of the customer.
(2) Any general terms and conditions of business or purchase of the contractual partner (customer) shall not apply and shall not become part of the contract even if the certification body does not expressly object to them.
2. Contract conclusion / Registration / Application
(1) The prices and certification offers published on the certification body's website do not constitute a binding offer from the certification body. They can be withdrawn or changed by the certification body at any time before the express acceptance of the order from the contractual partner (customer).
(2) The contract only comes into effect once the certification body confirms the registration/application in writing (including confirmation by electronic means).
(3) The decisive factor for the start of the contract term is the conclusion of the contract in accordance with clause 2.2.
(4) Although the certification body strives to adhere to the agreed-upon examination dates, it cannot guarantee that these will actually take place. In this case, the certification body will inform the contractual partner (customer) and refund all payments already made.
3. Admission requirements
(1) The certification procedures of the certification body are open to any interested party who possesses the qualifications required by the examination and certification regulations. The interested party or participant is solely responsible for fulfilling the admission requirements. Claims arising from a lack of admission requirements are excluded.
(2) The certification body is obligated to verify whether the participant meets the necessary admission requirements. The participant must submit the required documents upon request. The contractual partner (customer) is obligated to pay the examination fees even if the admission requirements are not met.
4. Implementation
(1) The personnel check is carried out in accordance with the SGU-Personal VAZ 2021 certification program, the applicable legal provisions and DIN EN ISO/IEC 17024.
(2) The use of subcontractors, in particular auditors and interpreters, by the certification body to provide services does not require the client's approval.
(3) The certification body reserves the right to change examiners and/or relocate the examination, provided this does not fundamentally alter the examination objective. There is no entitlement to have the examination conducted by a specific examiner or at a specific examination location

- the policy on the use of certificates, logos and symbols;

§ 2 The client's contractual terms do not apply.
The client's general terms and conditions do not become part of the contract, even if they are not expressly rejected.
§ 3 Certification program
The personnel certification body Schipper CertPers UG works with the SGU Personal VAZ 2021 certification program and is not itself the program owner. Schipper CertPers UG must ensure that the certification program can be systematically evaluated and validated continuously by the program owner, VAZ e.V.
§ 4 Fees / Invoice / Payment
(1) The personnel certification body Schipper CertPers UG charges fees for its services. These fees are set out in the fee schedule, which is available on the personnel certification body's website. Fees are also charged if the examination is not taken, if the applicant does not cancel their participation in the examination at least two weeks before the examination date, or if the examination is graded as "failed".
(2) The customer agrees to receive invoices electronically by completing the designated fields "Email address for e-invoice" and "Format selection" in the application. Electronic invoices will be sent to the customer via email in XRechnung or ZUGFeRD format, with an additional PDF file conforming to the EN 16931 standard. Further information on the ZUGFeRD invoice format can be found at www.ferd-net.de.
(3) Invoices are generally payable immediately upon receipt, unless otherwise agreed. In case of late payment, the certification body is entitled to charge default interest in accordance with Section 288 of the German Civil Code (BGB).
§ 5 Confidentiality
(1) Schipper CertPers UG, the personnel certification body, treats all information and data acquired during the certification process with strict confidentiality. Forwarding this information to third parties requires the prior written consent of the applicant or certificate holder.
(2) The preceding paragraph 1 does not apply to
- the obligation of the personnel certification body Schipper CertPers UG, according to the specifications of the SGU-Personal VAZ 2021 certification program, to provide third parties with information on the validity of SGU certificates upon request.
- the inclusion of the certificates in a potentially public certificate database of the personnel certification authority, in order to confirm the authenticity of the certificates we issue to third parties and to demonstrate trust in them. A public certificate database of Schipper Cert-Pers UG is currently not active for data protection reasons.
- a legal, court-ordered or official obligation to disclose.
(3) The personnel certification body Schipper CertPers UG is entitled to keep copies of the written documents that were made available to it for inspection or handed over for the execution of the order, for its own records.
(4) The personnel certification body Schipper CertPers UG is authorized to allow assessors of the accreditation body access to the documents relating to the examinations and participation in the examinations.
§ 6 Data protection
(1) The personnel certification body Schipper CertPers UG processes personal data for the proper fulfillment of orders and also only for permitted purposes.
(2) The personnel certification body Schipper CertPers UG takes the necessary technical and organizational measures and ensures compliance with the provisions of the General Data Protection Regulation and the Federal Data Protection Act.
§ 7 Limitations of liability and disclaimer
(1) Schipper CertPers UG is liable without limitation:
- in cases of malice, intent, or gross negligence;
- within the scope of a guarantee expressly assumed by her;
- for damages resulting from injury to life, body or health;
- according to the provisions of the Product Liability Act.
(2) In the event of material and financial damage caused by slight negligence on the part of Schipper CertPers UG, Schipper CertPers UG shall only be liable in the case of a breach of essential contractual obligations and only to the extent of the foreseeable and typical damage at the time of conclusion of the contract. An essential contractual obligation is an obligation whose fulfillment is a prerequisite for the proper execution of the contract and on whose compliance the contracting parties may regularly rely.
(3) Furthermore, Schipper CertPers UG excludes all liability.
(4) The foregoing liability rules apply accordingly to the conduct of and claims against employees, legal representatives and vicarious agents of Schipper CertPers UG.
§ 8 Statute of limitations
All claims, with the exception of claims for fees, become statute-barred one year from the statutory commencement of the limitation period. This does not apply to liability for damages based on intent or gross negligence, or for damages resulting from injury to body, life, or health, or from the breach of essential contractual obligations.
§ 9 Text form
All communications, declarations, etc., to which the applicant and/or the examination participant is obliged, must be sent at least in written form to the personnel certification body Schipper CertPers UG, Niermannsweg 11-15, 40699 Erkrath.
§ 10 Formal requirements for declarations
Agreements, side agreements, promises, and all other arrangements and declarations, as well as the communication of all results obtained in the course of providing services, are only binding if they are confirmed by the personnel certification body Schipper CertPers UG, at least in written form. This also applies to amendments to this clause.
§ 11 No side agreements
No verbal side agreements have been made.
§ 12 applicable law
The contract is subject to German law, excluding the conflict of laws rules of private international law and the UN Convention on Contracts for the International Sale of Goods.
§ 13 The contract remains valid in all other respects even if a provision is invalid.
Should any provision of this agreement be or become invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely approximates its intended meaning.
